As in other highly regulated industries, telecommunications carriers must navigate a maze of federal and state laws and regulations in order to deliver new services, build stronger corporate entities, gain access to infrastructure and interconnections, and compete for customers.

Regulation and Rulemaking
We regularly counsel senior management on legal and regulatory compliance issues, and meet with federal and state legislators to advise on industry matters and promote our clients’ interests. In regulatory and rulemaking proceedings, we have represented competitive and incumbent local exchange carriers before the FCC and state commissions. We have been responsible for matters involving:

  • mergers, acquisitions, and changes in control
  • market entry, including certification proceedings
  • negotiation and arbitration of interconnection agreements
  • rate-of-return and alternative regulation
  • challenges to unjust and unreasonable rates, terms, and conditions
  • wholesale and retail billing disputes
  • switched and special access rates
  • pole attachment rules and rates
  • carrier-to-carrier standards and performance assurance plans
  • UNE rate setting
  • customer disputes.

Corporate Transactions and Litigation
We advise telecommunications clients contemplating acquisitions on regulatory requirements and potential obstacles, and represent them in proceedings seeking approval of mergers, reorganizations, and corporate financing transactions. For example, we recently assisted Otelco Inc. in successfully securing regulatory approval for its acquisition of Shoreham Telephone Company, Inc.

We have also represented telecommunications clients effectively in litigation, such as the FairPoint Communications bankruptcy in the Southern District of New York.

In-House Experience
Our telecommunications clients benefit from working with an experienced attorney who has served in-house as senior regulatory counsel for Verizon Communications Inc., a Fortune 500 company providing wireless, wireline, broadband, and TV services, and for Conversent Communications and One Communications Corp., two privately held local exchange carriers.
